跨境电商平台wish卖家维权 正式走向法律程序


      昨日,亿恩网报道了wish开始给部分卖家退还部分罚金,虽然都是小金额,但是说明了wish开始重视卖家的态度,不过wish依然没有返还被扣的营业额。具体报道可以参看《再追踪:wish部分罚款已退 卖家喜忧参半》。

      对此,卖家并不买账。亿恩网了解到,从元旦前夕就有部分卖家在收集wish的各种资料以图用法律武器维护自己的权益。一位来在美国加州的卖家小范(化名)向记者透露:“目前正在统计需要问律师的问题和涉及的金额,下周将约谈律师。”

      记者了解到,在一个wish维权QQ群里,有卖家不断透露自己因涉侵权而被冻结的营业额,目前涉及金额最高为9万美元。据不完全统计,该QQ群各卖家因涉侵权而被冻结的营业额总和高达数千万。

      另外,该自费帮大家维权的卖家思路明确,他表示:“第一步:补充以收集到涉及侵权的问题,然后他和律师约谈;第二步:统计涉案金额,最好有截图。可以私下发给他证据;第三步:律师接受,给WISH发律师信。”

      该卖家表示,一切需要按美国法律走。而有卖家透露:“wish在中国的公司是科隆,貌似没有在工商合法注册。WISH在美国式所属员工只有2个的公司,叫ContextLogic。不过目前还木有足够的证据证明两者是同一家公司。”

      在此之前,也有卖家到达了wish总部门口维权,但此事后来不了了之,wish官方也没有明确的说法。有坊间消息透露:“wish承诺给到总部维权的卖家退款已使得维权卖家箴言。”小范号召卖家要团结一致才能维权成功,并希望遭罚卖家尽快提供金额等证据。

案情陈述:WISH是一家美国的电商平台公司,作为类似ebay这样的中介公司,搭建一个架构连接商家和消费者。约90%卖家来自中国。卖家通过入驻的方式,在该平台销售产品,并支付佣金。近期该平台严打侵权仿冒产品,许多卖家经过一个多月漫长的产品审核,热卖三个多月的产品却被一夕间判定侵权,产品下架,被冻结之前的营业额。所涉款项预计有上千万美元。


问题1: WISH作为电商平台/中介,是否有自主裁定侵权产品的权利?(政策见附录1)他们的自主权利有多大?哪些条款是他们可以自定的,哪些是需要遵循国家法律的?

问题2:所有产品都要经过审核才能上架,原则上侵权产品不能通过审核,但后来又会被判侵权下架冻结营业额。基本流程为:审核——通过上架——热销——发现侵权(或仿制品)——删除下架——冻结营业额并处罚金。WISH的产品审核已经包含侵权、仿品等内容,如果审查过后产品出现侵权问题,责任是否应该由WISH承担?


问题3:WISH对于被删除下架的产品并不会告知商家哪里侵权了,侵哪家品牌的。巨额罚金和营业额去向不明(WISH从来没有披露过资金去向),并没有退回给消费者和被侵权品牌,WISH是否有权利私吞、扣除侵权产品已经产生的销售收入?这是否构成商业欺诈?(政策见附录2)

问题4:如果被侵权的品牌向卖家索偿,WISH是否有权利使用卖家过去的销售收入作为赔偿?

问题5:WISH的退款政策霸王条款,只要客户提供一张照片,哪怕是不相关的(比如卖的是手机壳,客户投诉提供的是一张太阳眼镜的图),也可以拿到全额退款,退款则由卖家承担。WISH不合理的退款却由卖家承担的做法是否合法?

问题6:WISH先给予买家退款,然后要求他们退货到他们公司,并非退回给卖家。这样做损害了卖家的权益。是否合法?

问题7:WISH从未征求卖家同意就促销产品,并且卖家无权拒绝产品被促销,和当中损害卖家利益的条款(比如提高价格、运费,和降低库存,下架产品可能会产生处罚,详见附录4),卖家在入驻前并无此条款,此行为等同于WISH在条约后私自修改合约条文。这是否构成了私自修改合同?此合约是否等同于废除,卖家无需继续遵守此合约条文?


问题8:如果在美国起诉,需要走哪些司法程序?需要提供什么证明和证据?

Products are considered 'counterfeit' if:
They directly mimic or allude to a intellectual property. 
They are sold under a name that is identical or substantially indistinguishable from the owner's intellectual property.
They contain images of celebrities or famous models.
Selling a product without the owner's knowledge and approval is strictly prohibited.

Wish respects and protects intellectual property rights. The sales of counterfeit branded products on Wish is strictly prohibited. It is your responsibility to ensure the products you sell do not infringe any third party's legal rights.
Policy:
Wish will fine each store $1.00 USD per product found per day, up to $1000.00 USD per store per day. Each counterfeit product that we detect will be permanently removed once its detected. We reserve the right to withhold or forfeit payment for any order detected to be counterfeit.
Edited Product Policy:
If a merchant edits an approved product and changes it into a counterfeit product, the merchant will be fined $100.00 USD and the product will be removed.

Starting Oct 16 payments for products detected as counterfeit will be withheld
Starting Oct 16, 2014, as part of our ongoing effort to remove counterfeits from Wish and meet legal requirements, when a product has been detected as a counterfeit, payments for all such orders shipped after Oct 16 will be withheld. This is in conjunction with the $1.00 fine that has been previously issued. 

If a product has been detected counterfeit, you may dispute by providing the respective authentic proof of authorization to sell the product. If you have authentic authorization, the corresponding fines will be reversed and payment for withheld orders will be released. 

We trust that majority of our merchants do not purposely or maliciously sell products which infringe on intellectual property. Therefore, please work with your account managers to preemptively review your stores and ensure mutual interests are protected. Together, we will help each other become something special as the platform grows.

Starting 12/9/2014 PST Merchants will take full refund responsibility for item sizing issues
Consumer satisfaction is taken seriously at Wish. An important factor in providing a good consumer experience is making sure items fit the users. Customers expect items on Wish to conform to the provided sizing charts and select sizes accordingly. A small number of merchants do not use the sizing charts when listing items. These merchants create a negative experience for Wish customers and hurt the entire ecosystem.

Incorrect Size Policy: The merchant is responsible for 100% of the cost of the refund if the user requested a refund because the item does not fit.

When uploading products for sale, it is important to size them according to the sizing chart provided by Wish. Merchants who size items using the official Wish sizing charts will not be affected by this policy.

Starting 12/8/2014 PST stores disabling promoted products will be penalized
The best products are selected and promoted based on the information provided by merchants. Unfortunately, a small amount of merchants provide dishonest information when uploading products. This behaviour from a few merchants hurts legitimate merchants, Wish and most importantly Wish customers. 

For each promoted product disabled, the merchant will be fined $50 USD if the product had $500 GMV in the last 7 days.

To avoid this fine, please provide accurate information for each listing at the time of upload. Uploading inaccurate inventories, prices and images leaves a store vulnerable to this policy. Enabled products with inventory may be promoted at anytime.
